Terms of Service

1. Parties
These Terms govern access to and use of the Peppolpdf API service ("Service") operated under the trade name Peppolpdf ("we", "us") by two individuals based in Belgium, reachable at hello@peppolpdf.eu, to the customer ("Customer") who has registered for an account.
By registering for or using the Service, the Customer agrees to these Terms.
Note: These Terms will be updated to reflect the registered entity details once a formal legal entity has been established.
2. Description of Service
The Service provides a REST API that converts PEPPOL BIS 3.0-compliant XML invoice and credit note documents into PDF format. The Service is provided exclusively to business customers (B2B) and is not intended for consumers.
3. API Keys and Account Security
- The Customer is issued one or more API keys upon registration.
- API keys are confidential. The Customer is solely responsible for keeping them secure.
- The Customer must not share API keys with third parties outside their organisation, except as part of an authorised integration.
- In the event of a suspected key compromise, the Customer must notify us immediately at hello@peppolpdf.eu and rotate the key.
- We reserve the right to revoke API keys that show signs of misuse or abuse.
4. Data Handling
- The original submitted PEPPOL XML and the full generated PDF are processed in memory and never stored by the Service.
- A PII-redacted copy of each generated PDF is stored for 3 days for internal quality assurance and debugging. All personal identifiers (party names, addresses, tax IDs, contact details, bank account and card numbers) are replaced before storage.
- Invalid documents that fail validation may be retained for up to 3 days for error investigation.

5. Acceptable Use
The Customer agrees not to:
- Submit XML documents that contain malicious code or are designed to exploit the Service
- Attempt to reverse-engineer, bypass, or circumvent rate limits, authentication, or security controls
- Resell access to the Service to third parties without a separate written agreement
- Use the Service in any manner that violates applicable law, including EU e-invoicing regulations or Belgian commercial law
6. Rate Limits and Fair Use
The Service applies a default rate limit of 60 requests per minute per API key. Higher limits are available on Enterprise plans. Sustained abuse beyond subscribed limits may result in temporary suspension.
7. Pricing and Payment
- Pricing is as published on www.peppolpdf.eu/pricing or as agreed in writing.
- Payments are processed by Stripe. By subscribing, you also agree to Stripe's Terms of Service.
- Subscriptions are billed monthly in advance. Overage fees are billed in arrears.
- Invoices are due within 30 days of issue.
- Late payments bear interest at the statutory Belgian commercial interest rate (Wet van 2 augustus 2002 betreffende de bestrijding van betalingsachterstand).
- We reserve the right to suspend access for non-payment after a 14-day notice period.
8. Nature of Generated Documents
The PDF documents generated by the Service are visual representations of PEPPOL XML data for informational purposes only. They do not constitute official, legally binding, or fiscally valid documents. The original PEPPOL XML file remains the authoritative source for all legal, financial, and compliance purposes. The Customer is solely responsible for ensuring compliance with applicable e-invoicing, VAT, and archiving obligations.
9. Intellectual Property
- The Service, including its software, templates, and infrastructure, is the exclusive property of Peppolpdf.
- The Customer retains all rights to the XML data they submit and the PDFs generated from it.
- No licence to our intellectual property is granted beyond what is necessary to use the Service.
10. Service Availability
We target high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party infrastructure, force majeure, or events outside our reasonable control.
11. Limitation of Liability
To the maximum extent permitted by Belgian law:
- The Service is provided "as is". We make no warranties, express or implied, regarding fitness for a particular purpose or compliance with any specific regulatory requirement.
- Our total aggregate liability to the Customer for any claim arising under these Terms shall not exceed the fees paid by the Customer in the 3 months preceding the event giving rise to the claim.
- We are not liable for indirect, consequential, or incidental damages, loss of profit, or regulatory penalties arising from use of the Service.
12. Data Processing
Where the Customer submits PEPPOL XML documents that contain personal data, the Customer acts as data controller and Peppolpdf acts as data processor. A Data Processing Agreement (DPA) is available on request and forms part of these Terms by reference.
13. Term and Termination
- These Terms remain in force for the duration of the subscription.
- Either party may terminate with 30 days written notice.
- We may terminate immediately for material breach, including non-payment or violation of the Acceptable Use policy.
- Upon termination, API keys are revoked and account data is deleted subject to legal retention obligations.
14. Governing Law and Disputes
These Terms are governed by Belgian law. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Belgium.
15. Changes to These Terms
We may update these Terms. Material changes will be communicated by email at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
